Terms of Service

1. Who you are agreeing with

These terms are between you and Sindro LLC, a California limited liability company ("we", "us"), the operator of cuevj.com and the owner of cueVJ. Questions go to ronny@cuevj.com.

You must be 16 or older, or the age of digital consent where you live if that is higher, to use cueVJ. If you use it for a company, a venue or a crew, you are telling us you are allowed to agree on their behalf.

2. What cueVJ is

• The playground at cuevj.com/play: the scenes we wrote, driven by your microphone or an internal clock, performed by scrolling. Visitors get a fixed amount of free time. Members get it without limit.
• Studio: accounts, cue sheets (your own ordered set of scenes), packs (sets of scenes from us or from the store), and the store itself. Studio is in beta and opens to members at our discretion.
• The engine: the code that draws everything, published on GitHub under the PolyForm Noncommercial License 1.0.0. These terms cover the service at cuevj.com. That license covers the code.

The Privacy Policy and the Pack License are part of these terms.

3. Photosensitivity warning

If you show cueVJ to an audience, it is your responsibility to warn them before you start, to follow the rules of the venue, and to comply with any law that applies to flashing lights where you perform. We cannot see your room and cannot do this for you.

4. The microphone

The playground asks for your microphone only after you press a button, and starts it only if you allow it. Audio is analysed live in your browser and is never recorded, stored or sent anywhere. Decline it and the visuals run on an internal clock. The Privacy Policy has the full picture.

5. Accounts and the beta

• Signing up is your email address and nothing else. We email you a link or a code; using it signs you in. Keep your inbox secure, because anyone who can read your email can sign in as you. Tell us if you think someone has.
• A new account is a member: the playground without limits, and a place in line for Studio.
• We open Studio to members at our discretion, in the order we choose. We may also remove the line and let everyone in. Neither is a promise of when.
• Studio features are beta. They may change, move, or be removed. We do not guarantee that cueVJ will be available at any particular time, or at all. We are building it to be reliable enough for a show, but we do not promise uptime yet, so keep a fallback for any show you cannot afford to lose.
• One person, one account. Do not share your sign-in link or let someone else use your account.

6. Free minutes

If you use the playground without an account you get a limited amount of free time, measured on our server, currently five minutes. After that we ask you to join. The amount may change, and we may turn the limit off. The clock is tied to a cookie and, as a backstop, to a hashed version of your IP address. We know it can be worked around; doing so is still a breach of these terms (section 11).

7. Packs and the store

• Packs are sets of scenes. When you buy one you get a license to perform it with cueVJ, described in the Pack License. You do not buy the pack itself.
• Prices are shown in the store and at checkout, with any tax that applies. Payment is taken by Stripe on Stripe's checkout page. We never see your card number.
• Delivery is immediate. The pack appears in your account as soon as Stripe confirms the payment, usually within seconds.
• Before you buy, you can watch a recorded loop of every store pack, and Studio members can try a pack live in the playground, with their own music, for a short trial once per pack.

Refunds. Packs are digital goods, delivered instantly, and you can see and try a pack before you buy it. Because of that:

• If a pack does not work as described, tell us within 14 days of the purchase at ronny@cuevj.com. We will fix it or refund it. The decision is ours, but the intent is simple: if it is broken and we cannot fix it, you get your money back.
• We do not refund a change of mind.
• If you are a consumer in the EU or the UK, buying a pack means you ask us to deliver it immediately and you acknowledge that you lose the statutory 14-day right to withdraw once delivery has started. Your statutory rights for faulty digital content are not affected.

We may change prices, retire packs from the store, or update packs. A pack you have bought stays in your account even if it leaves the store.

8. Private packs and access phrases

Some packs are made for one client and are not in the store. They open with an access phrase. Entering the phrase unlocks the pack on that device for 24 hours; entering it again resets the clock. The phrase is for the client it was made for and for the crew running that client's shows. Do not post it, and do not use a phrase you were not given.

9. Cue sheets and your content

Your cue sheets are yours. You keep every right in your arrangements. You grant us only the license we need to store them, show them back to you, and play them when you launch them. We will not publish, sell or show your cue sheets to anyone else. You can delete them at any time, and deleting your account deletes them all.

The scenes inside a cue sheet stay covered by whichever license covers them: ours for the built-in scenes and for packs, yours for anything you build yourself.

10. The engine and the code

The cueVJ engine is published at github.com/ironsingh/cueVJ under the PolyForm Noncommercial License 1.0.0. You can read it, learn from it, and use it for noncommercial purposes under that license. Commercial use of the code needs a separate license from us; write to ronny@cuevj.com. Nothing in these terms changes that license, and nothing in that license changes these terms for the service.

Everything else about cueVJ (the name, the site, the packs, the scenes we wrote, the designs) belongs to us or to the artists who made it. These terms do not give you any of it beyond what they say.

11. Acceptable use

Do not:

• try to get around the free-minutes limit, pack entitlements, trials, or any other gate, by any means;
• scrape, download, extract or copy packs, scenes or their vector art, or redistribute them;
• reverse engineer, decompile or de-minify served bundles in order to redistribute them or run them outside cueVJ;
• remove or tamper with a watermark;
• share an account, a sign-in link or an access phrase with people it was not meant for;
• probe, overload or attack the service, or use it to attack anyone else;
• use cueVJ for anything unlawful, or to display anything unlawful;
• use cueVJ to harass or endanger anyone, including by ignoring section 3.

If you do, we may suspend or close your account, revoke packs, and refuse you service. If a breach of these terms causes a claim against us or costs us money, you will cover our reasonable costs.

12. Ending things

You can stop using cueVJ at any time, and you can ask us to delete your account at ronny@cuevj.com. We can suspend or close your account if you break these terms, if the law requires it, or if we shut the service down, in which case we will give you notice and time to take your cue sheets with you. Sections 3, 9, 10, 13, 14 and 15 survive the end of these terms.

13. No warranty

cueVJ is provided as is and as available. We do not promise that it will be uninterrupted, error-free, fit for a particular purpose (including a particular show), or that it will keep working in a given browser. This applies doubly to beta features. Where the law does not let us exclude a warranty, it applies only to the minimum extent the law requires.

14. Limitation of liability

To the extent the law allows:

• we are not liable for indirect, incidental, special or consequential loss, or for lost profits, lost bookings, lost data, or a show that did not go to plan;
• our total liability to you for everything arising from cueVJ is limited to the amount you paid us in the twelve months before the claim. If you paid nothing, it is nothing.

Nothing in these terms limits or excludes liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited by law. If you are a consumer, you keep every right your local law gives you.

15. Governing law

These terms are governed by the law of the State of California, United States, and disputes go to the state and federal courts located in California. If you are a consumer, you keep the protection of the mandatory law, and the courts, of the place where you live.

16. Changes to these terms

We update the date at the top when we change them. If a change is material and you have an account, we will email you at least 14 days before it takes effect, and you can close your account before then if you do not agree. Using cueVJ after that date means you accept the new terms.
